This User Agreement ("Agreement") governs your access to and use of the Hoag Agricultural Platform ("Platform"), including all content, features, and services provided through it. By creating an account or using the Platform, you agree to be bound by this Agreement.

If you do not agree with this Agreement, you should not use the Platform.

1. Eligibility

• You must be legally capable of entering into a binding agreement in your jurisdiction.
• Where applicable, certain investment features may only be available to users who meet specific eligibility or qualification criteria as determined by law or by the Platform.
• You agree that you are not using the Platform in violation of any applicable sanctions or restrictions.

2. Account Registration and Security

• You may be required to create an account to access certain features of the Platform.
• You agree to provide accurate and complete information and to keep it updated.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activities that occur under your account.
• You should promptly update your password or settings if you suspect unauthorized access.

3. Nature of the Platform

• The Platform provides technology and tools related to shared hog investment, farm information, and related data services.
• Any performance information, farm metrics, or projections displayed on the Platform are provided for informational purposes only and are not guarantees of future results.
• The Platform does not guarantee returns, profits, or avoidance of loss.

4. User Conduct

You agree that you will not:

• Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
• Attempt to interfere with the normal operation or security of the Platform.
• Access or attempt to access the accounts or data of other users without permission.
• Upload or transmit any malicious code, unauthorized scripts, or harmful content.
• Misrepresent your identity, eligibility, or any other information provided to the Platform.

5. Content and Intellectual Property

• The Platform and its content, including text, graphics, interfaces, farm data, and design, are owned or licensed by Hoag and are protected by applicable intellectual property laws.
• You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for personal or internal purposes in accordance with this Agreement.
• You may not reproduce, distribute, modify, or create derivative works based on the Platform or its content unless explicitly permitted.

6. Third-Party Services and Links

The Platform may contain links or access to third-party content or services. These are provided for convenience and do not constitute an endorsement. Hoag is not responsible for third-party content, terms, or policies.

7. Suspension and Termination

• Hoag may suspend or restrict access to the Platform if it reasonably believes that there is a violation of this Agreement, suspicious activity, or a security risk.
• Hoag may terminate your access to the Platform where required by law, by regulatory obligations, or at its reasonable discretion.
• You may stop using the Platform at any time. Certain obligations in this Agreement may survive termination, such as disclaimers and limitations of liability.

8. No Guarantee of Availability

The Platform may be modified, updated, or discontinued from time to time. Hoag does not guarantee that all features will remain available or that the Platform will be uninterrupted or error-free.

9. Disclaimers

To the extent permitted by law, the Platform is provided "as is" and "as available", without any express or implied warranties. This includes, without limitation, warranties of merchantability, fitness for a particular purpose, non-infringement, or availability.

10. Limitation of Liability

To the extent permitted by law, Hoag and its related parties will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill arising out of or in connection with the use of the Platform.

Where liability cannot be excluded, it may be limited in accordance with applicable law.

11. Changes to This Agreement

This Agreement may be updated periodically. Continued use of the Platform after any change constitutes acceptance of the updated Agreement. The most current version will be made available on the Platform.

12. Governing Law

The interpretation and application of this Agreement may be subject to the laws and regulations of the jurisdiction specified by the Platform or applicable to your use. Where local law grants you mandatory rights, nothing in this Agreement is intended to limit those rights.
